Cook shareholders oppose director appointment
More than 11% of Thomas Cook’s shareholders have opposed the re-election of non-executive director Dawn Airey, who sits on the group’s remuneration committee, and almost 9% voted against the company’s remuneration report.
One in 10 shareholders at yesterday’s annual general meeting also voted against giving authority to the directors to allot shares.
Head of Thomas Cook’s remuneration committee Peter Middleton stepped down following today’s AGM, as planned, to be replaced by Cook’s senior independent non-executive director Roger Burnell.
Airey, who also sits on the nominations committee and health, safety and environment committee, was re-elected at the AGM but with only 88.15% of the votes.
She is currently president of CLT-UFA UK Television and until August 2010 she was chair and chief executive of Five TV.
